1. Introduction

These Terms of Service ("Terms") govern your use of the Truly Digital website (trulydigital.ie) and the services we provide. By using our site or engaging us, you agree to these Terms.

2. Services

Truly Digital provides paid media management services, including Meta and Google advertising, creative production, strategy, and consulting. The specific scope of any engagement will be set out in a separate proposal or statement of work.

3. Engagement and payment

Fees, billing cycles, and ad spend arrangements are agreed in writing per client. Invoices are payable within the terms stated. Late payments may incur interest in line with applicable law.

4. Client responsibilities

  • Provide accurate information, access, and assets required to deliver the work.
  • Approve creative and campaigns within agreed timelines.
  • Ensure all content supplied is lawful and does not infringe third-party rights.

5. Intellectual property

Each party retains ownership of its pre-existing IP. Deliverables produced for a client transfer on full payment, except for tools, frameworks, and know-how Truly Digital uses across engagements, which remain ours.

6. Confidentiality

Both parties agree to keep non-public information shared during the engagement confidential and use it only to deliver the agreed services.

7. Third-party platforms

Our services rely on third-party platforms such as Meta and Google. We are not responsible for changes, outages, account suspensions, or policy decisions made by these platforms.

8. Disclaimers

Advertising results depend on many factors outside our control. While we apply experience and best practice, we do not guarantee specific outcomes, revenue, or ROAS. The website and any content are provided "as is" without warranties of any kind.

9. Limitation of liability

To the maximum extent permitted by law, Truly Digital's total liability arising out of or in connection with the services is limited to the fees paid by the client in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses.

10. Termination

Either party may terminate an engagement in line with the notice period stated in the applicable proposal. Fees for work completed up to the termination date remain payable.

11. Governing law

These Terms are governed by the laws of Ireland, and disputes are subject to the exclusive jurisdiction of the Irish courts.
